Wholesale Agreement

 

NOTE: “VENDOR” REFERS TO COMPANY/INDIVIDUAL RECEIVING WHIPPED UPP PRODUCTS.

 

“WHOLESALER” REFERS TO WHIPPED UPP.

 

-         Initial order minimum $100.00. All future order minimums are $65.00 dollars, unless otherwise agreed upon with Whipped Upp.

 

-         With your initial order, we have a minimum of 8 soap bars per scent and with each reorder there is a minimum of 4 bars per scent for Artisan Soaps.  All other products have a minimum order requirement of 4 per scent.

 

-         Vendor will provide wholesaler a copy of resale permit.  Vendor must have a brick and mortar store – no online sales are allowed with Whipped Upp products.

 

-         Vendor will pay shipping costs on all orders.  On all orders, we include the cost of packaging materials in your shipping total, as well as a handling fees on larger orders that can often require days to prepare and pack.  Whipped Upp will deliver/meet locally within 10 miles free of charge.

 

-         Wholesaler will accept the following forms of payment:  Cash, Money Order, Visa/Mastercard via Paypal Invoicing (all Credit card/Invoice orders will be charged a 3% processing fee to be paid by Vendor.)

NOTE: Payment to be paid in full upon placing an order.

 

-         Due to the handmade natural aspect of our products, Whipped Upp does not accept product/shipment returns, nor issue credits or refunds of our products. 

 

-         Vendor agrees that they will not allege to consumers that said Vendor manufactured these products yourself, nor appointees of yourself.  If Vendor decides to use their own labels they must put “manufactured by Whipped Upp” on the labels. 

 

-         All soap is inspected carefully by Whipped Upp upon completion of orders and prior to shipping. Whipped Upp is not responsible for damage sustained to soap during shipment. 

 

-         Production on order is begun following full, cleared payment and upon obtaining large-quantity supplies if not already on-hand (some very large orders require us ordering much larger quantities of ingredients than we "normally" keep stocked). Ordering these supplies for your large or custom order can often take 7-10 working/UPS ship days to arrive to Whipped Upp for us to continue production (subject to our suppliers schedule).  Once Vendor places and pays for an order, we can not accommodate major alterations or subtractions in your order. With large orders, we order ingredients specifically for your order and will be investing a large part of your payment into those ingredients. Once ordered, we cannot send them back.

 

-         All handmade soap is sensitive to extremes in heat. Do not leave soap product stored or displayed in hot, sunny locations. This can cause soap (in humid conditions) to "sweat" which potentially sets the soap up for microbe growth (if enclosed in air-tight wrapping such as shrink wrap or cello bags). Whipped Upp is not responsible for degradation of the soap that occurs as a result of storage in heat that does not occur at our location. Our facility remains air-conditioned and all soap products are shipped out, inspected and in approved optimal condition. Bulk soap may be shipped early (cure-wise) for ease of cutting on your end; air-out immediately upon receiving on racks or ventilated shelving.  Soap shelf life is subject to many factors, including heat (above note), exposure to air, dirt, customer handling, etc. Like fine wine, soap improves with age and curing. Some soap scents are more fleeting than others.  Whipped Upp is not responsible for soap with any signs of rancidity that occurs after leaving our hands in shipment as we cannot verify conditions in which you store, package, display and allow customers to handle the soap. 

 

-         RE: SOAP DESIGNS: Handmade soap designs are an artistry that cannot be duplicated exactly or identically from batch to batch.  Slight variations in color intensity, design of swirls, color chunks/embeds, are all subject to variation and is part of the beauty and nature of "handmade" products.

 

-         Custom made items take longer.  Cold Process soap needs at least 4 - 6 weeks to cure and harden.  Please be aware of this when ordering custom made soap loaves and order ahead of time to ensure we will have the soap made and ready to ship by date.  Custom soap loaves are sent either whole or we can cut for you.  Prices reflect ingredients.  We can custom make loaves based on what your specific needs are.
